Job Description

The legal counsel will be reporting to corporate and commercial legal division head and involved in a wide range of legal matters and responsibilities. Day to day tasks are inclusive but not limited to:
• Drafting, advising and negotiating commercial contracts, such as confidentiality, procurement, supply, collaboration and/or other transactional legal documents relating to the daily operations of the Company
• Supporting fund-raising transactions and relevant due diligence exercise, including equity and debt financing projects
• Working with IP counsel and patent division to draft, review and negotiate contracts or legal documents relating to intellectual property rights, such as joint development, research, license or assignment agreements
• Advising on internal cross-functional projects and other ad hoc legal and regulatory inquiries
• Assisting in the development and implementation of policies and procedures for the Company’s global operations
• Organizing or providing internal training related to legal and intellectual property knowledge
Candidates should also possess the following skills and capabilities:
• Self-starter with strong drive for results, sense of ownership and problem-solving skills, but also willing to take direction from senior team members or internal stakeholders
• Strong ethics and value principled approach
• Ability to work effectively and collaboratively across all levels within a matrix organization and with external parties,
• Be business minded to proactively connect and engage with business operations to balance business need and legal risks and provide practical solutions
• Comfortable working as part of a team and keen to interact with diverse group of people
1.Contract Management
•Review, revise, and draft various types of contracts in both Chinese and English, including procurement, sales, confidentiality (NDA) agreements.
•Maintain the company’s contract review procedures and contract management system.
•Assist business units in contract negotiation and risk assessment.
2. Legal Advisory
•Provide legal advice and risk assessments on matters related to company operations
•Respond to legal inquiries from various departments and provide dispute resolution suggestions.
•Support legal analysis related to new business initiatives or market expansion.
3. Mergers & Acquisitions
•Legal supports M&A by conducting due diligence, drafting and negotiating transaction documents, advising on deal structure.
•Coordinating with internal teams and external advisors, handling regulatory filings, and supporting post-closing integration.

Includes the following essential duties and responsibilities:
• Interface with Sales, Operations, Finance and Accounting teams regarding the negotiation of a wide range of commercial contracts, including but not limited to sales, procurement, channel, partnership, OEM, licensing, and services agreements.
• Advise on risks of proposed commercial transactions and provide practical and results-oriented legal advice to meet business objectives.
• Keep abreast of applicable laws, regulations and industry guidance to ensure best practice and compliance.
• Additionally, as a contributing member of our dynamic Legal team, you must have the willingness and ability to expand beyond your primary responsibilities to work on other legal issues that may arise and deliver training to non-legal colleagues.
In this role you will:
• Serve as the primary lawyer responsible for counseling the procurement organization and the business on a broad range of commercial and regulatory matters including structuring, drafting and negotiating commercial transactions
• Serve as the primary Contract Management resource for Entegris’ APAC operations
• You and the team will work directly with the sourcing team and the business.
• You will serve as lead counsel on strategic deals
• Provide day-to-day advice, resolve issues that arise in existing commercial relationships and handle pre-litigation legal disputes and inquiries
• Principal duties include structuring, drafting and negotiating complex procurement agreements
• Provide ongoing legal counseling in a wide range of legal areas
• Systematically analyze complex problems, draw relevant conclusions and implement appropriate solutions.
• Exhibit excellent negotiating and persuasive skills.
• Participate in projects to improve the efficiency of the contract management process including implementing software platform updates/changes, contract data optimization and reviews to drive improvements.
• Contribute to the continuous improvement of procurement contracts (minimizing risk, maximizing value) by updating contract templates, contract language and sharing of best practices
• Play a key role in the Law Department and be a partner to the strategy, buyer and category management excellence teams.
